Terms of Service

Please read these Terms of Service ("Terms") carefully before using API Coleen ("Service," "we," "us," or "our") at apicoleen.com. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. The Service

API Coleen is a software-as-a-service (SaaS) platform that allows you to:

  • Store and manage your API keys for third-party Large Language Model (LLM) providers
  • Route your API requests through our proxy to track token usage and costs
  • Monitor spending across multiple LLM providers in a single dashboard
  • Receive alerts when spending approaches configured budget limits
  • Manage team access to specific API keys

Important — "Bring Your Own Key" Model: API Coleen does not provide access to any LLM or AI model. You use your own API keys from providers such as OpenAI, Anthropic, Google, Groq, and OpenRouter. You are solely responsible for the cost of API calls made to those providers using your keys. We track and display those costs — we do not pay for them on your behalf.


2. Eligibility

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.


3. Account Registration

  • You must provide accurate, complete, and current information when creating your account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately at support@apicoleen.com if you become aware of any unauthorised access to your account
  • We reserve the right to terminate accounts that contain false or misleading information

4. API Keys and Third-Party Providers

4.1 Your Responsibility for API Keys

You are solely responsible for:

  • The security of the API keys you add to the Service
  • Ensuring you have the right to use those API keys in accordance with each provider's terms of service
  • All API calls made through your account, including costs incurred with third-party providers
  • Revoking API keys promptly if you believe they have been compromised

4.2 How We Handle Your API Keys

We encrypt your API keys using AES-256-GCM encryption before storing them. We use your keys only to forward requests you initiate through our proxy. We do not use your API keys to make requests for any other purpose.

4.3 Third-Party Provider Terms

When you route requests through our proxy to LLM providers (OpenAI, Anthropic, etc.), you remain bound by those providers' own terms of service, usage policies, and acceptable use guidelines. We are not responsible for any violation of third-party provider terms that occurs through your use of the Service.


5. Subscription Plans and Billing

5.1 Plans

We offer the following subscription tiers: Free, Starter, Growth, and Professional. The features available under each plan are as described on our pricing page at apicoleen.com/pricing. We reserve the right to modify plan features and pricing with reasonable notice.

5.2 Payment

  • Paid plans are billed monthly in advance in Indian Rupees (INR)
  • Payment is processed by Razorpay. By providing payment information, you authorise Razorpay to charge your payment method for the applicable subscription fee
  • All fees are inclusive of applicable taxes unless stated otherwise
  • Prices are as displayed at the time of subscription

5.3 Plan Upgrades and Downgrades

  • Upgrades take effect immediately upon payment
  • Downgrades take effect at the start of your next billing cycle
  • No partial refunds are provided for unused portions of a billing period when downgrading

5.4 Failed Payments

If a payment fails, we will attempt to notify you by email. If payment is not received within 7 days of the due date, we reserve the right to downgrade your account to the Free plan until payment is made.

5.5 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • Your paid plan remains active until the end of the current billing period
  • No refunds are provided for the remaining period
  • Your account will revert to the Free plan at the end of the billing period

5.6 Refunds

We do not offer refunds except where required by applicable law, or at our sole discretion in cases of technical errors or service unavailability that we caused. To request a refund, contact us at support@apicoleen.com within 7 days of the charge.


6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe the intellectual property rights of any third party
  • Use API keys that you do not have authorisation to use
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Use the Service to process data that violates any third-party privacy rights
  • Transmit malware, viruses, or other malicious code
  • Use the Service in a manner that creates an unreasonable load on our infrastructure (beyond the rate limits of your plan)
  • Resell, sublicense, or provide access to the Service to third parties without our written consent
  • Use the Service for any illegal purpose, including processing transactions that violate applicable financial regulations

We reserve the right to suspend or terminate accounts that violate this Acceptable Use policy without prior notice.


7. Team Features

7.1 Account Owner Responsibility

If you use team features to invite other users to access your account's API keys, you are the "Account Owner" and are solely responsible for:

  • The actions of all team members you invite
  • Ensuring team members comply with these Terms
  • Any costs or liabilities arising from team members' use of the Service

7.2 Team Member Access

Team members can only access API keys that the Account Owner explicitly assigns to them. This access can be modified or revoked at any time by the Account Owner. Team members do not have access to billing, subscription management, or the ability to invite additional members.


8. Intellectual Property

8.1 Our Property

The Service, including all software, interfaces, design, text, graphics, and other content, is owned by us or our licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during your subscription term.

8.2 Your Content and Data

You retain ownership of all data you input into the Service, including your API usage data and cost records. You grant us a limited licence to process and store this data solely for the purpose of providing the Service to you.


9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy at apicoleen.com/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.


10. Service Availability and Support

10.1 Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or factors beyond our control. We will endeavour to provide advance notice of planned maintenance where possible.

10.2 Support

  • Free plan: Community support via documentation only
  • Starter plan: Email support with response within 5 business days
  • Growth plan: Email support with response within 3 business days
  • Professional plan: Priority email support with response within 1 business day

Support requests should be submitted through the in-app support form or by emailing support@apicoleen.com.


11. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The service will be uninterrupted or error-free
  • The cost calculations and estimates provided are perfectly accurate (they are based on publicly available provider pricing and may not reflect all fees or discounts from your provider agreements)
  • The service will meet your specific requirements

12. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall we be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Costs of procurement of substitute services
  • Any damages arising from your reliance on cost estimates or projections provided by the service

Our total liability to you for all claims arising out of or relating to these terms or the service shall not exceed the amount you paid us in the 3 months immediately preceding the event giving rise to the claim, or ₹5,000, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so some of the above limitations may not apply to you.


13. Indemnification

You agree to indemnify, defend, and hold harmless API Coleen and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including third-party API provider terms
  • Any content or data you submit through the Service

14. Termination

14.1 By You

You may terminate your account at any time by deleting your account from your profile settings or by contacting us at support@apicoleen.com.

14.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

  • You breach any provision of these Terms
  • We are required to do so by law
  • We determine that your use poses a security risk to us or other users

Upon termination, your right to use the Service ceases immediately. We will handle your data as described in our Privacy Policy.


15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be India. The language of arbitration shall be English.

Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction.


16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on this page with a new "Last Updated" date
  • Sending you an email notification at least 14 days before the changes take effect for material changes

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service and delete your account before the effective date.


17. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect
  • No Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction
  • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemic, government action, or internet service disruptions
